Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Maharaja Trading LLC ("Maharaja Trading," "Company," "we," "us," or "our"), a Delaware limited liability company with its principal place of business at 100 Oceangate, Suite 1200, Long Beach, CA 90802, United States.

By accessing or using the Maharaja PDF Editor platform, the maharajatrading.com website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" shall refer to that entity.

If you do not agree to all of these Terms, you must not access or use the Services.

2. Description of Services

The Maharaja PDF Editor is a cloud-based, Software-as-a-Service (SaaS) platform that provides professional PDF editing and document management tools, including but not limited to:

• Batch PDF merging and combining
• Electronic signature (e-sign) with audit trail
• Custom PDF stamping and annotation
• PDF compression and file optimization
• Optical Character Recognition (OCR) for scanned documents
• PDF splitting, page extraction, and reorganization
• Document password protection and security management
• REST API for programmatic document processing
• Secure cloud storage for processed documents

The Services are designed for business-to-business (B2B) use, particularly for logistics companies, customs brokers, freight forwarders, importers, exporters, and other trade professionals.

3. Account Registration

3.1. Eligibility. The Services are intended for use by businesses and individuals who are at least 18 years of age. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts.

3.2. Account Information. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3.3. Account Security. You must immediately notify us at saas-sales@maharajatrading.com of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your account credentials.

4. Subscription Plans & Payment

4.1. Plans. The Services are offered under the following subscription tiers, each with different feature levels and usage limits:

• Starter Plan: $19 per month (or $15/month billed annually)
• Logistics Pro Plan: $49 per month (or $39/month billed annually)
• Global Enterprise Plan: $149 per month (or $119/month billed annually), with custom pricing available for multi-seat enterprise contracts

4.2. Billing. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing period. All fees are quoted and charged in United States Dollars (USD).

4.3. Payment Methods. We accept major credit cards (Visa, Mastercard, American Express) and bank transfers for annual Enterprise contracts. Payment processing is handled by Stripe, a PCI-DSS Level 1 certified payment processor. Maharaja Trading LLC does not store full credit card numbers on our servers.

4.4. Price Changes. We reserve the right to modify pricing with 30 days' written notice to existing subscribers. Price changes will take effect at the start of your next billing cycle following the notice period.

4.5. Taxes. Subscription fees do not include applicable taxes (sales tax, VAT, GST). You are responsible for paying all taxes associated with your subscription, as determined by your jurisdiction.

4.6. Late Payments. If your payment fails or becomes overdue, we will attempt to re-charge your payment method over a 7-day grace period. If payment cannot be collected after three attempts, your account may be suspended or downgraded to limited functionality until the outstanding balance is resolved.

5. Free Trial

5.1. Trial Period. New users may be eligible for a 14-day free trial of the Services. During the trial period, you will have access to the full features of your selected plan tier without charge and without providing payment information.

5.2. Trial Expiration. At the end of the 14-day trial period, your access to premium features will expire unless you subscribe to a paid plan. Your uploaded documents and account data will be retained for 30 days after trial expiration, after which they may be permanently deleted.

5.3. No Automatic Charges. The free trial does not automatically convert to a paid subscription. No payment information is collected during trial registration, and there are no automatic charges upon trial expiration.

6. User Content & Document Uploads

6.1. Ownership. You retain all ownership rights in the documents and content you upload to the Services ("User Content"). By uploading User Content, you grant Maharaja Trading LLC a limited, non-exclusive, non-transferable license to process your content solely for the purpose of providing the requested Services (e.g., merging, stamping, signing, compressing, OCR processing).

6.2. No Content Mining. We do not read, analyze, data-mine, or use the content of your uploaded documents for any purpose other than delivering the specific processing service you requested. We do not train machine learning models on your document content.

6.3. Document Retention. Processed documents are stored in your secure workspace for 30 calendar days, after which they are automatically and permanently deleted from our servers. You may request immediate deletion at any time from your account dashboard or by contacting us.

6.4. Responsibility. You are solely responsible for the legality, accuracy, and appropriateness of your User Content. You represent and warrant that you have all necessary rights and permissions to upload and process the documents you submit.

7. Acceptable Use Policy

You agree not to use the Services to:

• Upload, process, or distribute content that is illegal, fraudulent, defamatory, obscene, or infringes on the rights of any third party
• Forge, falsify, or alter documents for illegal purposes, including but not limited to customs fraud, identity fraud, or financial document manipulation
• Violate any applicable laws, regulations, or trade sanctions (including US export controls and OFAC sanctions)
• Attempt to gain unauthorized access to other users' accounts, data, or documents
• Reverse-engineer, decompile, or disassemble any aspect of the Services
• Use automated scripts or bots to access the Services in a manner that exceeds reasonable usage patterns or circumvents rate limits
• Resell, sublicense, or redistribute the Services without prior written authorization from Maharaja Trading LLC
• Upload content containing malware, viruses, or other harmful code

Maharaja Trading LLC reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy, with or without prior notice.

8. Intellectual Property

8.1. Our IP. The Maharaja PDF Editor, including all software, algorithms, user interface designs, logos, trademarks, documentation, and other intellectual property, is owned by Maharaja Trading LLC and is protected by US and international copyright, trademark, and patent laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except as explicitly stated herein.

8.2. Trademarks. "Maharaja Trading," "Maharaja PDF Editor," and associated logos are registered trademarks of Maharaja Trading LLC. You may not use these trademarks without our prior written consent.

8.3. Feedback. If you provide feedback, suggestions, or ideas about the Services, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use and incorporate such feedback into our products and services without any obligation to you.

9. Service Availability & SLAs

9.1. Uptime. We use commercially reasonable efforts to maintain high service availability. The following service level agreements ("SLAs") apply by plan:

• Starter Plan: Best-effort availability (no contractual SLA)
• Logistics Pro Plan: 99.5% monthly uptime commitment
• Global Enterprise Plan: 99.9% monthly uptime guarantee with service credits for breaches

9.2. Scheduled Maintenance. We may temporarily suspend the Services for scheduled maintenance, which will be announced via email and in-app notification at least 48 hours in advance. Scheduled maintenance windows do not count against SLA calculations.

9.3. Force Majeure. We are not liable for service interruptions caused by events beyond our reasonable control, including but not limited to natural disasters, acts of war, pandemic, internet backbone failures, or actions by governmental authorities.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAHARAJA TRADING LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES.

10.2. IN NO EVENT SHALL MAHARAJA TRADING LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO MAHARAJA TRADING LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10.3. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless Maharaja Trading LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation.

12. Termination

12.1. Termination by You. You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period. You will retain access to the Services until the end of the paid period.

12.2. Termination by Us. We may suspend or terminate your access to the Services immediately, without prior notice or liability, if: (a) you breach these Terms; (b) you fail to pay subscription fees after the 7-day grace period; (c) we reasonably believe your account is being used for illegal or fraudulent purposes; or (d) we are required to do so by law.

12.3. Effect of Termination. Upon termination: (a) your license to use the Services is immediately revoked; (b) you must cease all use of the Services; (c) your uploaded documents will be retained for 30 days to allow you to download them, after which they will be permanently deleted; (d) no refunds will be issued except as described in our Subscription & Refund Policy.

13. Dispute Resolution & Governing Law

13.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions.

13.2. Dispute Resolution. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration conducted in Los Angeles County, California.

13.3. Class Action Waiver. YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Maharaja Trading LLC.

13.4. Small Claims Court. Notwithstanding the above, either party may bring a claim in small claims court in Los Angeles County, California, if the claim falls within the court's jurisdictional limits.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will: (a) update the "Last Updated" date at the top of this page; (b) post a prominent notice on our website; and (c) send email notification to registered users at least 30 days before the changes take effect.

Your continued use of the Services after the revised Terms become effective constitutes acceptance of the modified Terms. If you do not agree to the revised Terms, you must discontinue using the Services before the effective date.
